- Counsel plan sponsors, plan administrators, and service providers on their ERISA fiduciary duties related to employee benefit programs in Puerto Rico.
- Draft or revise meeting minutes and resolutions for administrative and investments committees.
- Prepare and negotiate EBSA Advisory Opinions regarding the operation of employee benefit plans in Puerto Rico.
- Perform ERISA fiduciary compliance audits and prepare manuals on fiduciary duties.
- Assist plan administrators and claims administrators with the handling of benefit claims in accordance with Section 503 of ERISA.
- Assist plan sponsors with service provider engagements (e.g., drafting and processing requests for proposals (RFPs) and requests for information (RFIs), compiling and analyzing RFP/RFI responses, and negotiating service agreements).
- Counsel plan sponsors on the evaluation and implementation of cost-reduction and risk-management initiatives for local benefits (e.g., cybersecurity measures by local trustees and other service providers).
- Prepare Spanish translations of SPDs, SMMs, EOBs, enrollment forms, and other employee communications.
- Perform benefits and compensation due diligence for corporate transactions (M&As” involving companies with operations in Puerto Rico, and assist them with post-M&A benefits integration and/or termination.
- Provide legal support to companies with Puerto Rico operations on the benefits and compensation aspects of reductions in workforce (RFIs).
